About the role:
As our first internal General Counsel, you will be the architect of Certify’s global legal infrastructure during a hyper-growth phase. Reporting directly to the SVP of Finance, you will transition our legal operations from an outsourced model to a high-performing internal function. Your mission is to build the legal systems and discipline necessary to scale us for the future journey ahead.
You are a hands-on leader who thrives in the "controlled chaos" of a Series B startup. You aren’t just reviewing contracts; you are institutionalizing the legal discipline required for our next stage of growth by managing the complexities of our US and India-based operations. Since you will be the primary legal partner for a US-headquartered revenue team, this role requires working full US business hours to ensure high-velocity execution for our customers and stakeholders.
What you’ll do:

Build and Lead the Internal Legal Engine
Insourcing & Strategy: Lead the full migration of all legal data, contract repositories, and ongoing matters from external vendors to our internal systems.
Automation First: Build and implement "automation-first" tools and Contract Lifecycle Management (CLM) systems to drive scale and reduce manual review times.
Outside Counsel Management: Manage local and international legal vendors, acting as the primary point of contact to ensure specialized advice is cost-effective and aligned with company goals.
Cross Functional Partner: Partner with various stakeholders as legal matters arise with commercial, compliance or employment teams.

US Commercial Law & Revenue Enablement
High-Velocity Contracting: Own the drafting and negotiation of MSAs, SOWs, and Data Use Agreements, specifically tailored to US HealthTech and SaaS standards.
Sales Partnership: Partner with the Growth team to navigate complex enterprise procurement processes, ensuring legal is a "bridge" to revenue rather than a bottleneck.
Regulatory Alignment: Ensure all commercial agreements align with our mission to be the "source of truth" for provider data while protecting our intellectual property and API-first infrastructure. You will need to be a strategic partner with our Compliance team to understand operational impacts of the regulatory environment.

Global Compliance & Data Governance
Dual-Jurisdiction Mastery: Design and implement robust internal controls and SOPs that satisfy both US healthcare regulations and Indian corporate compliance.
Privacy Infrastructure: Act as the lead for data privacy and security legal standards, ensuring our platform’s "Provider 360" view meets the highest standards of the US healthcare ecosystem.
Risk Mitigation: Implement frameworks to prevent leakage and ensure audit readiness as we prepare for future institutional funding or exit events.
What you’ll need: (Must-Have Experience)
The Credentials: Law degree (LLB/LLM) with 8–12 years of progressive legal experience in high-growth technology environments.
The "Build" Mindset: Proven experience transitioning a company from an outsourced legal model to a high-performing internal team.
US Commercial Expertise: Expert-level knowledge of US commercial law, including deep experience with SaaS revenue models, usage-based contracts, and hybrid ROI models.
Global Coordination: Direct experience working for an Indian subsidiary of a US-headquartered company, with a strong grasp of both Indian and US legal frameworks.
US Shift Alignment: Ability and willingness to work 100% overlap with US business hours to support our primary revenue and leadership teams.
Preferred Experience
HealthTech Vertical: Deep understanding of the specific legal hurdles in healthcare data, including provider network management and US regulatory burdens.
Firm Background: Early career experience at a top-tier law firm is highly desirable.
Startup Scaling: A track record of working in high-growth startup environments (Series B to C), specifically helping a company scale through rapid ARR milestones.
Systems Mastery: Advanced experience with legal-tech automation, AI-native tools, and cloud-based systems.
